MP3 Batch Conversion

I know this was covered recently but I am clearly suffering from archive
blindness.

I have my standard directory of 256kbps MP3's. But I also like to keep a
separate directory for 128kbps MP3's for the iPOD and Shuffle. Is there an
easy to use utility to batch convert and then to continue to synch the two
sets encoding anything that needs doing?
